1. Acceptance of these terms
These Terms of Service (the “Terms”) form an agreement between you and PMTSoul Limited (“PMTSoul”, “we”, “us”) covering your use of the PMTSoul Agent operating system and the related websites, workspace, mobile pages and APIs (together, the “Service”).
By registering an account, signing in or otherwise using the Service, you confirm that you have read, understood and agree to these Terms and to the Privacy Policy. If you do not agree, do not use the Service.
If you use the Service on behalf of a company or other organisation, you represent that you are duly authorised to accept these Terms on its behalf, and “you” then means both you and that organisation.
Which entity you contract with depends on the site you use: through pmtsoul.com and its subdomains, your counterparty is PMTSoul Limited; through pmtsoul.com.cn, it is 北京源词人工智能科技有限公司 (Beijing). “We” below means whichever entity you actually contracted with.
2. Accounts and eligibility
- The Service is intended for businesses and organisations. You must have the legal capacity to enter into these Terms and must not be a party barred from receiving the Service by applicable law or sanctions.
- You sign in with an email verification code or a supported third-party account. You agree to provide accurate, complete registration details and to keep them up to date.
- You are responsible for the security of your sign-in email, devices and sessions. Activity through your account is treated as yours unless you can show it resulted from our fault. Tell us immediately if you suspect unauthorised use.
- You may invite team members into your company workspace. You manage their permissions and are responsible for what they do there.
3. The service
PMTSoul provides an enterprise Agent operating layer that turns your company’s materials, workflows, tools and permissions into capabilities digital employees can understand and execute. The Service includes, among other things:
- Company workspace: company details, knowledge base, tasks, outputs and team management.
- Digital employees and tasks: role-based digital employees that run company tasks and produce copy, reports, media, websites, emails and other outputs.
- Task Market: task workflows and digital employees you can browse and install.
- Full agency: once you enable it, digital employees advance the tasks you select autonomously.
- Company mailbox and integrations: a company mailbox provided by the platform, plus the WeChat Official Account, ERP, advertising, social and company-sending-domain connections you configure yourself.
Available features, scope and quotas are as offered in the product at the time and may change as it develops. Some features may be labelled preview, beta or “coming soon”; those may be unstable and may change or be withdrawn.
4. Subscriptions, task credits and billing
- Subscription: charged per billing period, granting the entitlements included in your plan for that period. Unless cancelled before the period ends, a subscription may renew in the manner you selected.
- Task credits and night-shift quota: running tasks consumes task credits or night-shift quota. A subscription usually grants an allowance each period, and you can buy additional credit packs. When the allowance runs out, autonomous execution pauses; you can continue after topping up.
- Bonus allowances: promotional or first-month bonus credits may sit in a different pool from the periodic subscription allowance, as shown in the product.
- Prices and taxes: prices are those shown in the product when you order. Unless stated otherwise, prices may exclude tax; applicable taxes are payable by you.
- Payment: made through payment providers such as WeChat Pay and Alipay, each of which applies its own rules to the transaction.
- Refunds: digital services incur cost once used, and consumed allowances are not refundable. This does not limit any statutory refund rights you have as a consumer. If the Service is unavailable for an extended period through our fault, contact us and we will work out a resolution.
- Non-payment and suspension: if a subscription lapses or the allowance is exhausted, the related features may be suspended. Your company data is retained while the account exists.
- Price changes: we may change prices and allowance rules and will give notice in the product or by email before they take effect. Changes do not apply retroactively to a subscription period already in force.
5. Your content and the licence you grant
Using the Service does not transfer ownership of what you upload, or of the outputs produced from it, to us.
- Your content means material you or your team upload, enter, connect or receive through the Service — company details, knowledge base files, task instructions, conversations, email and data from third-party platforms.
- The licence you grant: so that we can provide the Service — storing, transmitting, indexing, transcribing, retrieving, producing outputs, sending content to models for inference, and publishing or sending on your instruction — you grant us a non-exclusive, worldwide, royalty-free licence to use your content to the extent necessary to provide the Service. The licence exists only for that purpose and ends as you delete content or the Service terminates.
- Your warranty: you warrant that you hold the rights needed for the content you upload, that uploading and using it infringes no one’s intellectual property, privacy, trade secrets or other rights, and that where personal information is involved you have obtained the necessary consent or have another lawful basis.
- Outputs: provided you comply with these Terms, you may use the Service’s outputs in your business. You understand that AI-generated content may resemble content others receive, and we make no warranty that it is original or eligible for intellectual property protection.
- Training: we do not use your content to train general-purpose public models without your explicit authorisation. See the Privacy Policy.
6. Autonomous execution and your responsibility
When full agency is on, digital employees take real actions on your behalf — sending email, publishing articles, running advertising, calling the external systems you have connected — and consume your task credits.
- You can stop full agency at any time, or turn autonomous execution off for an individual task.
- We place confirmation or approval steps on high-risk actions, but the scope of those steps is whatever the product currently implements and must not be treated as human review of every outbound action. Set permissions to match your risk appetite and keep human review for what matters.
- You are responsible for content and actions issued in your name, including their legality, accuracy and compliance with the rules of the destination platform.
- You are responsible for supplying valid, lawful credentials and authorisations for the external systems you connect, and for keeping them valid while in use.
7. Acceptable use
You must not:
- use the Service for anything that breaks applicable law, or generate or distribute unlawful or infringing content;
- send spam or unsolicited commercial messages, or use the company mailbox and sending identity in breach of anti-spam rules;
- upload malicious code, or attempt to break into, disrupt or circumvent the Service’s security, access controls, quota or billing mechanisms;
- reverse engineer or decompile the Service, or scrape, mirror or resell the Service or its outputs without authorisation;
- impersonate another person, forge sender identities, or pass yourself off as PMTSoul or anyone else;
- issue requests beyond normal business need in a way that degrades the Service for others;
- use the Service for automated decisions producing legal or similarly significant effects on individuals without appropriate human review;
- breach the rules of the third-party platforms you connect.
If you breach this section we may limit, suspend or terminate the affected features or your account, and cooperate with the authorities where the law requires.
8. Third-party services and platform rules
The Service can connect to third-party platforms and act there for you. Those platforms are operated independently and are governed by their own terms, content rules and fees, which you must follow. Changes, rate limits, bans or outages on a third-party platform can affect the tasks that depend on it. We are not responsible for those, but will flag them and assist where reasonable.
9. AI output
- Outputs are generated by AI models and may be inaccurate, out of date or incomplete.
- They are not legal, tax, financial, medical or other professional advice. Review them yourself before publishing, promising anything to a customer, or making a business decision on their basis.
- The same or similar instructions may produce similar outputs for different users.
10. Intellectual property
The Service itself — its software, interfaces, design, documentation, trade marks and logos — belongs to PMTSoul or its licensors and is protected by intellectual property law. These Terms transfer none of PMTSoul’s intellectual property to you. We grant you only a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes while you comply with these Terms.
If you submit task workflows, digital employees or other content through the developer publishing feature, you warrant that you hold the necessary rights and grant us the licence needed to display, distribute and run that content.
You may send us suggestions and feedback about the Service. We may use that feedback freely to improve the Service, with no obligation to compensate you.
11. Changes, suspension and termination
- Our changes: we may update, adjust or discontinue parts of the Service. Where a change is materially adverse we will give advance notice in the product or by email.
- Suspension by us: we may limit, suspend or terminate your access if you breach these Terms, if there is a security or legal risk, or if payment is long overdue. Except in urgent cases we will make reasonable efforts to notify you first.
- Termination by you: you may stop using the Service and close your account at any time. What happens to your data afterwards is described in the Privacy Policy.
- Effect of termination: termination does not affect rights and obligations that arose beforehand. Sections that by their nature should survive — including sections 5, 9, 10, 12, 13, 14 and 15 — continue to apply.
- Export: export anything you want to keep before your account is terminated.
We may also update these Terms. The updated version is published on this page with a revised “Last updated” date, and we will give separate notice of material changes. Continuing to use the Service after a change takes effect means you accept the updated Terms.
12. Disclaimer of warranties
To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available”. We make no warranties, express or implied, including as to merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted, error-free, accurate, or fit for your particular needs.
Nothing in this section excludes or limits liability that applicable law does not allow to be excluded or limited, or restricts any statutory rights you have as a consumer.
13. Limitation of liability
To the maximum extent permitted by applicable law:
- we are not liable for indirect, incidental, special, punitive or consequential loss, including lost profits, lost business opportunities, loss of goodwill or loss of data;
- our total aggregate liability under these Terms will not exceed the fees you actually paid us for the Service in the twelve (12) months before the event giving rise to the liability.
These limits do not apply to damage caused by our wilful misconduct or gross negligence, nor to personal injury or other liability that applicable law does not permit us to limit.
14. Indemnity
You will defend and hold harmless PMTSoul and its affiliates against third-party claims, losses, liabilities and reasonable costs (including reasonable legal fees) arising from your content, from the way you use the Service, or from your breach of these Terms, applicable law or third-party rights. We will notify you of any such claim promptly and, at your cost, give you reasonable cooperation.
15. Governing law and disputes
These Terms are governed by the laws of the Hong Kong Special Administrative Region of the People’s Republic of China, without regard to its conflict-of-laws rules.
Any dispute arising out of these Terms or the Service should first be resolved by good-faith discussion. Failing that, it is submitted to the non-exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region.
If you use the Service as a consumer, this section does not deprive you of the right to bring proceedings in your place of residence, or to rely on the mandatory law that applies there.
If your counterparty is 北京源词人工智能科技有限公司 — that is, if you use the service through pmtsoul.com.cn — these Terms are instead governed by the laws of mainland China, and disputes that cannot be settled by negotiation go to the competent People’s Court at that company’s domicile.
16. General
- Entire agreement: these Terms, the Privacy Policy and any supplementary agreement or order form signed by the parties are the entire agreement about the Service. Where a supplementary agreement conflicts with these Terms, the supplementary agreement prevails.
- Severability: if a provision is held invalid or unenforceable, the rest remains in force.
- Waiver: failing or delaying to exercise a right is not a waiver of it.
- Assignment: you may not assign your rights or obligations without our written consent. We may assign these Terms in a merger, acquisition or transfer of assets.
- Force majeure: neither party is liable for delay or failure to perform caused by events beyond its reasonable control.
- Notices: we give notice via your registered email or in the product; you can reach us using section 17.
- Language versions: these Terms are offered in several languages. If there is any inconsistency between versions, the English version prevails, except where mandatory law provides otherwise.
